Please read these terms carefully. Section 14 contains a binding individual arbitration agreement and a class-action waiver. By using the Services or placing an order, you agree to those provisions unless you opt out in the manner described in Section 14.
1. Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and NUVRELL ("NUVRELL," "we," "us," or "our"), a business operating from the State of Maryland, United States. They govern your access to and use of the website at nuvrell.com, all related subdomains, and any products or services offered through them (collectively, the "Services"). By accessing the Services, browsing the catalog, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
2. Definitions
- "Order" means a request to purchase one or more products through the Services.
- "Products" means jewelry items offered by NUVRELL, including pieces in stainless steel, sterling silver (925), and 14K gold.
- "Content" means all text, images, graphics, logos, audio, software, and other material made available through the Services.
3. Eligibility
To use the Services and to place an Order you must (a) be at least 18 years of age and have the legal capacity to enter into binding contracts under the laws of your state of residence, or (b) be at least the age of majority in your jurisdiction with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Services are intended for use by residents of the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
4. Accounts and Orders
You may browse the Services as a guest or create an account to save your shipping address, order history, and wishlist. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information.
Submission of an Order is an offer by you to purchase Products subject to these Terms. We may accept or decline any Order in our sole discretion, including (without limitation) where there is a suspected pricing or description error, payment authorization fails, the item is out of stock, the order is suspected of fraud, or the shipping address is in a region we do not serve. If we cancel an Order after charging your payment method, we will issue a full refund to that method.
5. Pricing, Taxes, and Payments
All prices are listed in United States Dollars (USD). Prices may change at any time, but a change will not affect Orders we have already accepted. We make reasonable efforts to ensure pricing accuracy; however, despite our care, errors may occur. Where we identify a material pricing error, we may cancel the Order and issue a full refund.
Maryland state sales tax of six percent (6%) is collected on Orders shipped to Maryland addresses, as required by Maryland law. Sales tax for other states will be calculated at checkout if NUVRELL has an obligation to collect tax in that state.
Payments are processed by Stripe, Inc. ("Stripe"), a PCI-DSS Level 1 service provider. By submitting payment information you authorize NUVRELL (through Stripe) to charge your selected payment method for the total amount of your Order, including taxes, shipping, and any applicable discounts. You represent that you are authorized to use the payment method provided.
If you select a "Buy Now, Pay Later" option (e.g., Klarna or Afterpay) where available, your transaction is governed by the separate terms of that financing provider, and NUVRELL is not a party to that financing agreement.
6. Shipping, Delivery, and Risk of Loss
NUVRELL ships Orders within the United States via the United States Postal Service (USPS) and other carriers we may designate from time to time. Estimated processing time is 1–2 business days; estimated transit time is 2–7 business days for standard shipping. Estimated dates are not guaranteed.
Free standard shipping is offered on Orders with a merchandise subtotal of forty-five U.S. dollars ($45.00) or more, before taxes. A shipping fee will be displayed at checkout for Orders below the threshold.
Title to and risk of loss for the Products will pass to you when the carrier delivers the Order to the address you provided. NUVRELL is not responsible for delays caused by the carrier, weather, customs, address errors, or recipient absence. Where a package is marked as delivered by USPS but you have not received it, please follow the procedure described in our Return Policy.
7. Returns and Refunds
Returns and refunds are governed by our Return Policy, which is incorporated into these Terms by reference. Please review it before placing an Order.
8. Intellectual Property
All Content on the Services — including the NUVRELL name and logo, product photography, design renderings, copy, layout, and software — is owned by NUVRELL or licensed to NUVRELL and is protected by United States and international copyright, trademark, and trade-dress laws. Except as expressly permitted by these Terms or by applicable law, you may not copy, reproduce, modify, distribute, sell, or create derivative works of any Content without NUVRELL's prior written consent. Use of the NUVRELL marks for review, commentary, or reporting purposes is permitted to the extent allowed by 15 U.S.C. § 1115 and the doctrine of nominative fair use.
You retain ownership of any review, photograph, or other content you submit to the Services. By submitting, you grant NUVRELL a non-exclusive, royalty-free, worldwide, perpetual, sublicensable license to use, reproduce, adapt, publish, and display that content in connection with operating and promoting the Services. You represent that you have the right to grant this license.
9. Prohibited Uses
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable law; (b) attempt to gain unauthorized access to any part of the Services, our systems, or other users' accounts; (c) interfere with the operation of the Services, including by uploading viruses or executing denial-of-service attacks; (d) scrape, harvest, or otherwise collect data from the Services through automated means without our express written permission; (e) submit false, misleading, or fraudulent Orders or reviews; (f) use the Services to resell Products as a commercial enterprise without our prior written consent; or (g) impersonate any person or entity.
10. Disclaimers
The services and products are provided "as is" and "as available," without warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, NUVRELL disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
NUVRELL does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Color and texture representations of Products on the Services depend on your device and may differ from the physical item.
Some states do not allow the exclusion of certain warranties; in those states, the disclaimers above apply only to the maximum extent permitted by law, and you may have additional rights.
11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will NUVRELL, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, or goodwill — arising out of or relating to your use of the services or any product, even if NUVRELL has been advised of the possibility of such damages.
NUVRELL's aggregate liability for any claim arising out of or relating to the services or these terms will not exceed the greater of (a) the amount you paid to NUVRELL for the product giving rise to the claim during the twelve (12) months preceding the event, or (b) one hundred U.S. dollars ($100.00).
Some states do not allow the exclusion or limitation of incidental or consequential damages; in those states, our liability is limited to the smallest amount permitted by law.
Nothing in these Terms is intended to limit liability that cannot be limited by law, including for our gross negligence, willful misconduct, or fraud.
12. Indemnification
You agree to defend, indemnify, and hold harmless NUVRELL, its affiliates, and their respective officers, directors, employees, and agents from any claim, damage, loss, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms or our Privacy Policy, (b) your misuse of the Services, (c) your violation of any law or third-party right, or (d) any content you submit through the Services.
13. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Maryland, without giving effect to any choice-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration agreement in Section 14, the state and federal courts located in Maryland will have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue in those courts.
14. Binding Individual Arbitration; Class-Action Waiver
Read this section carefully — it limits how you can resolve disputes with NUVRELL.
Except for (i) small-claims-court actions, (ii) claims for injunctive relief to protect intellectual-property rights, and (iii) where prohibited by law, you and NUVRELL agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any Product (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. The arbitration will be conducted in English, and unless the AAA rules require otherwise, the seat of arbitration will be Maryland.
Class-action waiver. You and NUVRELL agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator has no authority to consolidate more than one person's claims or to preside over any form of representative or class proceeding.
30-day opt-out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of the date you first agreed to these Terms (or within 30 days of any material change to this section). The notice must include your full name, postal address, the email associated with your account, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.
This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
15. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and NUVRELL regarding the Services.
- No waiver. Failure by NUVRELL to enforce any right under these Terms will not be a waiver of that right.
- Severability. If any provision is held invalid or unenforceable, the remainder of these Terms will remain in effect.
- Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms freely.
- Force majeure. NUVRELL is not liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, labor disputes, supply-chain disruption, war, civil unrest, government action, pandemic, or carrier failure.
- Notices. Notices to NUVRELL must be sent to [email protected]. Notices to you may be sent to the email address on your account or posted to the Services.
- Updates. We may update these Terms from time to time. Material changes will be communicated through the Services and, where required, by email. Your continued use after the effective date of the update constitutes acceptance.
